In 2014, during the restructuring of IAP Worldwide Services, Kaye Scholer LLP served as an administrative agent of the lender group, which constituted of Eaton Vance, Credit Suisse, Invesco and Oppenheimer Funds and Deutsche Bank Trust Company America. The restructuring converted 80% of the existing first lien debt into the IAP’s new equity. Furthermore, it acquired IAP’s second lien debt, created a new revolving loan valued at $50 million, credit facility letter, and amendment and restatement of the current loan terms on bloomberg.com. IAP Worldwide Services owed its first and second lien lenders approximately $125 and $354 million respectively. Through over 45 lawyers situated in its five offices, Kay Scholer LLP provided legal advice on national security, government contracts, and regulatory compliance in Washington DC.

In 2015, IAP Worldwide Services purchased DRS Technologies’ business units that include the Oklahoma City-based Aviation and Logistics (A&L) business as well as the Aberdeen-based Tactical Communications & Network Solutions business (TCNS). Aviation and Logistics business unit specializes in aviation services, mission support, and global-scale logistical services whereas TCNS is an expert in engineering and networking technology. As a subcontractor of the US government, IAP Worldwide Services provides ICT support to the US military. According to Doug, IAP’s Head of Operations, the acquisition brings an added layer of expertise inevitable for the company’s long-term growth strategy. The existing IAP’s National Security unit will integrate with the acquired DRS Technologies’ business units to form Aviation and Engineering Solutions.

Under the new contract, IAP Worldwide Services would provide facility management services, incidental support, natural disasters cleanup, and humanitarian efforts.
